General terms of Business To facilitate cooperation with SKALLI Specialized Translations & Interpreting Services, Grosser Hirschgraben 15, 60311 Frankfurt am Main, the following General Terms of Business are valid: Written translations and interpreting services 1. Translations are handled professionally and delivered on time. Specialized translations are prepared by qualified, native-speaker Specialized translators, who are specialized in the relevant area of expertise. In every case, the target language will be the native language of the translator and/or the interpreter. If desired, sworn translators will certify your official documents. 2. If the client does not specify any company-specific terminology, then regular Specialized dictionaries are used as the basis. 3. In case translation errors due to incorrect data stemming from the client or due to incorrect source documents arise, no liability by SKALLI will be accepted. 4. In case the client determines translation errors, then SKALLI has the option to verify and, if necessary, correct. For this purpose, a new delivery date needs to be agreed upon. Entitlement to have a mistranslation removed must in any case be set forth in a claim by the client that describes the deficiency in detail. Any deficiencies must be described in detail and in writing within 14 days after receipt of the translation (for example: by e-mail, fax, letter). If, however, SKALLI is not notified of any mistranslations within the 14-day deadline, then the translation will be considered as accepted. 5. The client will inform SKALLI about any required delivery forms of the translation early enough (for example: B.:  delivery on electronic media, translation ready for publication; number of copies - through the postal system or by e-mail). In case of a translation for publication, the client will supply the translator with a copy to proof-read early enough for printing. The translator may correct any mistakes. Names and numbers are to be reviewed by the client. A translation for publication is connected to proofreading and copy-editing. This is subject to extra charges based on time. 6. Performance by third parties: The SKALLI Translation Agency is entitled to use employees or expert third parties at its own discretion. It is only liable for the careful selection. However, the Translation Agency is obligated to assign any claims against third parties to the client on demand. 7. SKALLI is only liable for damages caused intentionally and by gross negligence. There shall be no liability for damages based on gross negligence arising from acts of God or force majeure; PC and network failure in sending e-mails or any computer viruses. 8. The client's claim for compensation of damages against the translator according to No. 7 is limited to EUR 5,000.00 based on the damages caused. 9. Client damage claims arising from translation deficiencies (Article 634a BGB, German Civil Code) shall lapse after one year from acceptance of the translation, insofar as deceit cannot be proved. The liability for consequential harm caused by a deficiency is - contrary to Article 634a BGB - limited to the legal period of limitation. Liability according to Article 202 Section 1 BGB will remain unaffected. 10. In case, after the order has been accepted, the translation cannot be carried out within the period agreed upon for conclusive reasons, such as illness or technical difficulties in the Internet, then SKALLI will inform the customer immediately. 11. SKALLI is committed to treat and keep any documents received as strictly confidential. 12. Where a translation order is placed as a result of SKALLI offering their services via the Internet, the client waives their possible right to withdraw in the event that the translator has started work on the translation and the client has been advised accordingly. 13. SKALLI has available a team of qualified, native-speaker interpreters who are specialized in the relative field for simultaneous, consecutive and/or negotiation interpreting. As a pre-requisite for an interpreting assignment, the client will provide all necessary information (terminology, sample texts, etc.) regarding the event themes, the planned presentations, subject areas which in the client's opinion are relative as well as an exact program of events at least four weeks in advance in order to prepare and train. The interpreter will receive a copy of all written documents that will be read during the event at least one day in advance. 14. With respect to interpreting assignments, the client will provide SKALLI in advance with detailed information to perform the contract, for example, regarding the subject areas and the interpreting technique desired (simultaneous, consecutive or negotiation interpreting) along with any relative documents. 15. In case the client has not provided any information in advance, then SKALLI has the option to withdraw from the interpreting contract if the assignment cannot be guaranteed due to a lack of preparation. 16. The normal working hours per interpreter are limited to 4 hours each in the morning and the afternoon. 17. In case the interpreter becomes ill or cannot perform the assignment for an important reason, then SKALLI will do its best to provide a replacement to take over the duties arising from this contract. 18. In case the client cancels an assignment for SKALLI interpreters, then SKALLI as the supplier reserves the right to charge a cancellation fee in the amount of 50% of the order value agreed upon including any travel or incidental costs already incurred.  In cases where the client cancels his order less than 10 working days before the planned assignment takes place, then the full amount (100%) of the fees agreed upon as well as any costs incurred will be charged. 19. SKALLI will invoice clients for their services immediately after the translation or interpreting assignment have been completed. All invoices in this connection are payable and due without any discount 14 days after the date on the invoice. 20. Minimum compensation or the minimum order value, depending on the service and the language combination, is between € 30.00 and € 85.00 (plus VAT). All prices are net plus the legally stipulated VAT. 21. Prior to beginning the assignment, SKALLI may agree in writing with the client  that delivery will be subject to full payment in advance. 22. The translator will reserve title to the translation until full payment is made. Until this time, the client has no usage rights. 23. The client is liable for any and all arising costs incurred based on a contract withdrawal and as a consequence of information being withheld (order cancellation). 24. Translation rates are based and charged according to the number of lines and the level of difficulty. The basis for billing is per line, which is defined as 50 characters by the word count program.  Spaces and punctuation marks are counted as characters. 25. Voice recordings of interpreter sessions may only be made with prior permission by the interpreter him-/herself before the event. 26. In the event of acts of God or force majeure, the parties to the contract are freed from those contract commitments affected by the unusual circumstances. 27. Should specific clauses of these terms and conditions become legally ineffective, then the remaining terms and conditions will remain valid. 28. All contractual relationships between SKALLI and the client are exclusively subject to German law. 29.
